1. Confidentiality and Intended Use

Where any transfer of personal data outside the UAE is undertaken by NCG, such transfer will be effected only where permitted by applicable law and subject to appropriate safeguards as required by the PDPL and other applicable data protection legislation.
3. Artificial Intelligence and Human Review
NCG may use proprietary and third-party artificial intelligence ("AI") tools to support internal research, drafting, and operational efficiency. Such tools are used solely as an internal support mechanism. All AI-assisted content and output are subject to human review by NCG personnel before it is communicated externally.
Notwithstanding such review, AI-assisted content may contain errors, omissions, or outdated references. NCG does not warrant that any AI-assisted material is complete, accurate, current, or fit for any particular purpose.
NCG does not input client personal data or confidential information into third-party AI tools without appropriate data processing agreements or equivalent contractual protections in place, consistent with applicable data protection law, including the UAE PDPL.
4. Scope of Advice and Reliance
Any information, commentary, analysis, draft materials, or other content provided by NCG in this communication is based solely on the facts, assumptions, instructions, and documents made available to NCG at the time of preparation. NCG's output may require revision if relevant information is incomplete, inaccurate, or unclear, or if material changes occur after the date of this communication.
Recipients should not rely on the contents of this communication as a substitute for independent professional advice or their own due diligence. Any decision made in reliance on information provided in this communication is the sole responsibility of the recipient.

5. No Legal, Tax, Audit, Accounting, or Investment Advice
Unless expressly agreed otherwise in a written engagement letter signed by an authorised signatory of NCG, nothing in this e-mail or in any related communication, attachment, or document constitutes or should be construed as:
- legal, tax, audit, accounting, regulatory, investment, or other professional advice;
- a representation or warranty as to any matter of fact or law; or
- a binding offer or proposal capable of acceptance by conduct, silence, or any means other than a written agreement executed by an authorised signatory of NCG.
Recipients should seek independent professional advice appropriate to their specific circumstances before acting on any information contained in this communication.
6. Engagement and Chargeable Services
NCG provides professional consultancy services exclusively on the basis of its written engagement terms and conditions, as published on NCG's website [novaconsultinggroup.ae/novaconsulting.io] and as may be supplemented by an applicable engagement letter, proposal, or statement of work.
A binding consultancy engagement between NCG and any client arises only when confirmed in writing and signed by an authorised signatory of NCG. No instruction, request, or communication — whether by e-mail or otherwise — creates a binding engagement unless so confirmed.
Where NCG has confirmed a chargeable engagement in writing, time reasonably spent on review, research, drafting, meetings, calls, or responses to substantive enquiries will be chargeable at the rates agreed in the applicable engagement letter or, where no rate has been expressly agreed, at NCG's prevailing standard rates. NCG will provide advance written notice before incurring chargeable time for any pre-engagement communication or enquiry.
By engaging NCG's services pursuant to a duly executed written engagement, the recipient acknowledges that they have read and agree to be bound by NCG's applicable terms and conditions, as amended from time to time.
7. No Warranty and Limitation of Liability
E-mail communication is transmitted over public networks and may be subject to delays, interception, corruption, loss, unauthorised access, or malware infection. NCG makes no warranty, express or implied, as to the security, accuracy, completeness, timeliness, or fitness for purpose of this communication or any attachment.
To the fullest extent permitted by applicable UAE law, NCG, its directors, shareholders, employees, consultants, and agents exclude all liability for any direct, indirect, incidental, consequential, or other loss, damage, cost, or expense arising out of or in connection with this e-mail, any attachment, or any reliance placed on their contents.
Nothing in this Disclaimer excludes or limits NCG's liability for:
- fraud or fraudulent misrepresentation;
- wilful misconduct or gross negligence;
- death or personal injury caused by NCG's negligence; or
- any other liability that cannot lawfully be excluded or restricted under applicable UAE law, including UAE Federal Law No. 5 of 1985 (Civil Transactions Law) as amended.
8. Viruses and Cybersecurity
NCG takes appropriate technical measures to protect outgoing communications, including scanning for known malware and viruses. However, NCG cannot guarantee that this communication or any attachment is entirely free from software viruses, malware, or other harmful components, and makes no warranty in that regard.
Recipients are solely responsible for implementing their own appropriate security checks, including virus scanning, before opening any attachment or following any link contained in this communication. NCG accepts no responsibility for any loss or damage suffered as a result of malware, corrupted files, or similar threats transmitted in connection with this communication.
9. Governing Law and Jurisdiction
This Disclaimer, and any non-contractual obligation, dispute, or claim arising out of or in connection with this e-mail communication or its subject matter, shall be governed by and construed in accordance with:
- UAE Federal Law, including UAE Federal Law No. 5 of 1985 (Civil Transactions Law) as amended, UAE Federal Law No. 18 of 1993 (Commercial Transactions Law) as amended, and other applicable UAE federal legislation; and
- the applicable rules and regulations of the Ajman Free Zone Authority ("AFZA"), to the extent relevant to NCG as a licensed entity within the Ajman Free Zone.
The Courts of the Emirate of Ajman and the competent UAE federal courts shall have jurisdiction to settle any dispute arising out of or in connection with this communication, unless otherwise required by mandatory applicable law.
