NCG is a limited liability company registered and licensed in the Ajman Free Zone, Ajman, United Arab Emirates, and operates in accordance with the rules and regulations of the Ajman Free Zone Authority ("AFZA") and applicable UAE federal law.
By accessing or using the website, you confirm that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, you must cease using the website immediately.
2. Use of the website
The website is provided for general informational and promotional purposes only. Nothing on the website constitutes legal, tax, audit, accounting, regulatory, investment, or other professional advice unless expressly stated in a separate written engagement agreement signed by an authorised signatory of NCG.
You may use the website only for lawful purposes and in accordance with these terms. You must not:
- use the website in any way that damages, disables, overburdens, or impairs the website or interferes with any other person's use of it;
- use the website to transmit any unsolicited or unauthorised advertising or promotional material;
- use the website to transmit any material that is unlawful, defamatory, offensive, or otherwise objectionable;
- attempt to gain unauthorised access to any part of the website, its servers, or any system or network connected to it;
- use the website in any manner that violates applicable UAE federal law, Ajman Free Zone regulations, or any other applicable law or regulation.

4. Engagement Terms
Any consultancy services provided by NCG are subject to separate written terms of engagement. No enquiry, submission of a contact form, or exchange of emails or other communications creates a binding consultancy agreement unless and until confirmed in writing by an authorised signatory of NCG.
By instructing, engaging, or otherwise using NCG's services, you agree to be bound by the applicable written engagement terms, which shall include these terms and any additional terms expressly incorporated by reference in the relevant engagement letter, proposal, or statement of work.
5. Fees and Charges
Any fees, billing arrangements, scope limitations, and payment terms applicable to NCG's services will be set out in the relevant engagement letter, proposal, statement of work, or other written agreement executed between the parties.
Where NCG has confirmed a chargeable engagement in writing, time spent on calls, meetings, research, drafting, review, or responding to substantive queries will be chargeable at the rates agreed in the applicable engagement letter or, where no rate has been expressly agreed, at NCG's prevailing standard rates as notified to you at the time.
For the avoidance of doubt, NCG will not charge fees for pre-engagement enquiries without first notifying you in writing that such time will be chargeable and providing you with the opportunity to confirm your agreement.
All fees are exclusive of applicable taxes, including Value Added Tax ("VAT") where applicable under UAE Federal Decree-Law No. 8 of 2017 on VAT and its implementing regulations. VAT and any other applicable taxes will be charged in addition to and at the prevailing rate at the time of invoicing.
6. Intellectual Property
All content on the website, including text, graphics, logos, trade names, service marks, designs, downloadable materials, and layout, is owned by or licensed to NCG and is protected by applicable intellectual property laws, including UAE Federal Law No. 38 of 2021 on Intellectual Property Rights in the UAE and applicable international conventions.
No material on the website may be copied, reproduced, distributed, modified, published, transmitted, or otherwise used for any commercial purpose without NCG's prior written consent, except to the extent expressly permitted by applicable law.
You may print or download content for your own personal, non-commercial use only, provided that all copyright and proprietary notices are retained.
7. User Submissions
If you submit information, files, or other materials through the website, you warrant that:
- you have the legal right to provide such information and materials;
- the information and materials do not infringe the intellectual property, privacy, or other rights of any third party;

9. AI-assisted content
NCG may use proprietary and third-party artificial intelligence ("AI") tools to support research, drafting, content generation, and internal operational efficiency. Such tools are used as support mechanisms only and all AI-assisted output is subject to human review by NCG personnel before use or publication.
Notwithstanding such review, AI-assisted content may contain errors, omissions, or outdated references. NCG does not warrant that any AI-assisted content is complete, accurate, current, or fit for any particular purpose. The limitations of liability set out in Clause 13 apply equally to any loss or damage arising from AI-assisted content.
NCG's use of AI tools is subject to applicable data protection obligations. Personal data is not input into third-party AI tools without appropriate safeguards in place.
10. Confidential Information
Any information submitted to NCG through the website will be handled in accordance with applicable UAE law, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data ("PDPL"), and NCG's internal policies, subject always to any separate written confidentiality agreement, engagement letter, or statutory obligation.
NCG will not be obliged to treat information submitted through the website as legally confidential unless:
- NCG has expressly agreed in writing to treat such information as confidential; or
- such information constitutes personal data subject to the PDPL or other applicable data protection law; or
- NCG is otherwise required by applicable law to maintain confidentiality.
Where you wish NCG to treat information as confidential prior to the execution of an engagement letter, you should request a separate non-disclosure agreement before submitting such information.
11. Privacy and Data Protection
Any personal data collected through the website will be handled in accordance with NCG's Privacy Policy and applicable data protection laws, including the UAE PDPL. By submitting personal data through the website, you confirm that:
- you are entitled to provide that data;
- where the data relates to a third party, you have obtained all necessary consents or have a lawful basis to share that data with NCG; and
- you understand that such data may be processed for the purposes described in the Privacy Policy and any applicable engagement terms.

12. Disclaimers
The website and all content are provided on an "as is" and "as available" basis without any representation or endorsement.
To the fullest extent permitted by applicable UAE law, NCG disclaims all warranties, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted availability.
NCG does not warrant that the website will be free from viruses, malware, or other harmful components, and recommends that you use appropriate security software when accessing the website.
Nothing in this Clause excludes any liability for fraud, fraudulent misrepresentation, wilful misconduct, or any other liability that cannot lawfully be excluded or limited under applicable UAE law.

To the fullest extent permitted by applicable UAE law, NCG, its directors, shareholders, employees, consultants, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary loss or damage arising out of or in connection with:
- the use of, or inability to use, the website or any content on it;
- any reliance placed on information or materials on the website;
- any unauthorised access to or alteration of your transmissions or data; or
- any other matter relating to the website.
Nothing in these Terms excludes or limits NCG's liability for:
- fraud or fraudulent misrepresentation;
- wilful misconduct or gross negligence;
- death or personal injury caused by NCG's negligence; or
- any other liability that cannot lawfully be excluded or restricted under applicable UAE law, including UAE Federal Law No. 5 of 1985 (Civil Transactions Law) as amended.
14. Indemnity
You agree to indemnify, defend, and hold harmless NCG and its directors, shareholders, employees, consultants, and agents from and against any and all losses, claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your breach of these Terms;
- your misuse of the website;
- your violation of any applicable law or regulation; or
- your infringement of any third-party rights.
This indemnity obligation shall survive termination or expiry of your access to the website.
15. Suspension and Termination
NCG may suspend, restrict, or terminate access to the website, in whole or in part, at any time where reasonably necessary for security, operational, legal, or commercial reasons, or where you are in breach of these Terms.
Where practicable, NCG will provide reasonable notice of any planned suspension or significant restriction. NCG shall not be liable to you for any loss or damage arising from any suspension, restriction, or termination of access to the website.

If any provision of these terms is found to be invalid, unlawful, or unenforceable by any court or competent authority of applicable jurisdiction, such provision shall be deemed severed from the remainder of these terms, which shall continue in full force and effect to the maximum extent permitted by law.
19. Waiver
No failure or delay by NCG in exercising any right or remedy under these terms shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude any further or other exercise of that right or remedy or the exercise of any other right or remedy.
20. Governing Law and Jurisdiction
These Terms, and any dispute, claim, or matter arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with:
- UAE Federal Law, including UAE Federal Law No. 5 of 1985 (Civil Transactions Law) as amended, UAE Federal Law No. 18 of 1993 (Commercial Transactions Law) as amended, and other applicable UAE federal legislation; and
- the rules and regulations of the Ajman Free Zone Authority to the extent applicable to NCG as a licensed entity in the Ajman Free Zone.
The courts of the Emirate of Ajman and the competent UAE federal courts shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms, unless otherwise required by mandatory applicable law.

Where NCG processes personal data of individuals located in the European Economic Area ("EEA") or the United Kingdom ("UK"), and where such processing falls within the territorial scope of the EU General Data Protection Regulation ("GDPR") (Regulation (EU) 2016/679) or the UK GDPR respectively, NCG will comply with those instruments in addition to UAE law. Section 6 below sets out the lawful bases applicable in such circumstances.
4. Personal Data We Collect
We may collect the following categories of personal data:
- Identity and contact information: name, email address, telephone number, company name, and job title;
- Correspondence and enquiry details: content of messages, forms, and communications submitted to NCG;

6.2 GDPR / UK GDPR (where applicable)
Where the GDPR or UK GDPR applies to NCG's processing of personal data of EEA or UK data subjects, NCG relies on one or more of the following lawful bases under Article 6 GDPR / UK GDPR:

NCG is based in the UAE. Personal data may be transferred to and processed in countries outside the UAE, including countries that may not provide the same level of data protection as the UAE.

- using standard contractual clauses approved by the relevant authority; or
- relying on other lawful transfer mechanisms as permitted by applicable law.

10. Retention
NCG retains personal data only for as long as reasonably necessary for the purposes for which it was collected, in accordance with the following principles:
- personal data relating to website enquiries that do not result in an engagement will generally be retained for a period of 12 months from the date of last contact, after which it will be securely deleted or anonymised;
- personal data relating to client engagements will be retained for the duration of the engagement and for a period of 7 years thereafter, to comply with legal, regulatory, and accounting obligations under UAE law, including the UAE Commercial Transactions Law and applicable tax legislation;
- personal data processed for marketing purposes will be retained until you opt out or withdraw consent, after which it will be promptly deleted or suppressed; and
- technical data collected through the website (such as log files and analytics data) will generally be retained for 24 months from the point of collection.
After the applicable retention period, personal data will be securely deleted, destroyed, or anonymised in accordance with NCG's data retention and disposal procedures.
